Regulatory Triggers and Offer Details
Under the Swedish Act on Public Takeovers, crossing a 30 percent ownership threshold in a publicly traded company triggers a mandatory buyout offer. Candle Lake surpassed this regulatory mark in late July 2026, necessitating a formal bid for the remaining shares.
Key details of the proposal include:
Offer Price: SEK 695 per share, valuing Evolution at approximately SEK 131.7 billion.
Market Comparison: The proposed price represents a 17 percent discount to Evolution’s closing price of SEK 820 on the Friday preceding the board’s formal recommendation.
Regulatory Compliance: The bid was initiated to satisfy Nasdaq Stockholm’s mandatory takeover rules after Candle Lake’s direct holding reached 30.02 percent.
Bidder Intentions and Strategic Context
Despite the formal submission of the bid, Candle Lake has explicitly communicated that it does not intend to take full control of Evolution or delist the company. In a public disclosure, the investment firm clarified its position: “Candle Lake is a long-term investor and views its shareholding in Evolution as a financial investment in a well-managed, highly profitable business.”
The firm further noted that it has no plans to implement material changes to Evolution’s operations, general strategy, workforce, or management structure. Industry observers and financial analysts have widely interpreted the bid as a procedural necessity. The structure of the offer fulfills local stock exchange requirements while allowing the investment vehicle to retain a significant minority position without assuming operational control.
